AFFILIATE TERMS
1.The Agreement commences once SDate accepts your request
and approves your website(s) for inclusion in the Affiliate Program by sending
you a confirmation email and Affiliate-ID. SDate reserves the right to decline
affiliate requests at its discretion. 2. A 'succesful referral' means the
referred visitor to the site proceeds to make a paid purchase on SDate of at least
1 months membership and SDate has received the full payment in cleared funds.
If you operate multiple sites, you can accumulate your total referrals provided
you register each site with us at the outset and tell us you are a multiple operator. 3.
SDate will pay you commission for UK-site succesful referrals as follows:-
Upto
100 referrals in one calendar month: £3.00 each
101+ referrals in one calendar month: £5.00 each
4. SDate will pay you commission for Rest of the World (non UK)
succesful referrals as follows:-
Upto 100 referrals
in one calendar month: $3.00 each
101+
referrals in one calendar month: $5.00 each
5.
If you are VAT registered in the EU, you must issue a VAT invoice to us stating
your full company name, address and VAT registration number. The commissions above
are quoted excluding VAT. If you are outside the EU, the rates above are gross.
You are responsible for any local/federal tax arising from your commission earnings. 6.
We will calculate commissions WEEKLY and email you an account summary of
transactions for which cleared funds have been received. We will pay your commission
at the end of every calendar month, one month in arrears, in the manner specified
by you above and we will issue you a report by email. The first payment will be
made at the end of the second calendar month of operation, covering transactions
for the previous calendar month. (eg. All March transactions paid at end of April,
all April transactions paid at end of May and so on). If we incur any charges
if the payee details given by you are not operational, these will be deducted
from your account. If you opted for mail payment, we will send it to your specified
address by normal 1st class post with proof-of-posting obtained. If you opted
for Paypal, we will send it within 48 hours of the calendar month to your Paypal
account. 7. Payments will accumulate (ie. not be sent) if the account balance
is below £25 on a UK account, or below $50 on a US account. We will not
convert currencies - if you refer both UK/non-UK traffic, you can operate 2 separate
currency accounts with 2 different email addresses. 8. Clawback charges
will be applied and deducted from your account where a referral resulted in a
fraudulent, declined or refunded payment transaction at anytime within 12 months.
Clawback charges will include any chargeback fees and/or bank charges we incur
plus a £8 (UK) or $8 administration charge. Any negative balance must be
paid to SDate within 14 days. 9. We have a tried and tested system for logging
referrals and their succesul conversion to a purchase. This will be the sole basis
for calculating commissions. There will no reliance on data from the referring
site or any other source.
10. We may request additional information from
you which we may reasonably require to determine that you are a bona fide affiliate
operating within our guidelines.
11. We may terminate an affiliate account
at anytime, after deducting our charges/costs and paying any surplus balance due
to you. We may change the commission rates and/or other terms by giving you 1-months
notice by email. |
